Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Recoup (“Recoup”, “we”, “us”), a chargeback-representment application that automatically detects payment disputes, drafts evidence, and submits responses on a merchant’s behalf across Whop, Shopify Payments, and PayPal. By installing or using Recoup, you agree to these Terms.
1. The service
Recoup connects to your payment platforms, and when a chargeback is filed it gathers the relevant order, payment, risk, fulfillment and policy information, generates a representment, and submits it to the processor before the response deadline. You can configure automation settings, review cases, and add supporting evidence at any time.
2. No guarantee of outcome
Chargeback outcomes are decided solely by the cardholder’s issuing bank and the relevant card networks or payment processors — not by Recoup. We make reasonable efforts to assemble and submit strong, processor-ready evidence, but we do not and cannot guarantee that any particular dispute will be won. Recoup is a tool to assist your defense, not a warranty of recovery.
3. Fees — pay-per-won
Recoup is free to install and carries no monthly or setup fee. We charge a success fee of 10% of the disputed amount only when a chargeback is won on your behalf. If a dispute is lost, no fee is charged for it. Fees are billed through the platform on which the dispute occurred (for example, your Shopify or Whop billing). You will be charged on only one platform per dispute and will never be double-charged for the same dispute. Applicable taxes may apply.
4. Your responsibilities
You are responsible for the accuracy of the business and policy information you provide (such as your refund and cancellation policies and business profile), for maintaining the connection between Recoup and your platforms, and for ensuring you have the authority to grant Recoup access to your dispute and order data. You agree to use Recoup only for legitimate dispute defense and in compliance with the rules of your payment processors and card networks.
5. Authorizations and access
By connecting a platform, you authorize Recoup to access the data and perform the actions covered by the permissions you approve — reading disputes and related order data, and creating and submitting dispute evidence. You may disconnect a platform or uninstall Recoup at any time, which revokes that access going forward.
6. Acceptable use
You may not use Recoup to submit false, fraudulent, or misleading evidence, to violate any payment-network rule or applicable law, or to interfere with or attempt to gain unauthorized access to the service. We may suspend or terminate access for misuse.
7. Availability and changes
We aim to keep Recoup available and effective but provide the service on an “as is” and “as available” basis. We may modify, improve, or discontinue features, and we may update these Terms; material changes will be reflected by the “last updated” date above. Continued use after a change constitutes acceptance.
8. Limitation of liability
To the maximum extent permitted by law, Recoup is not liable for lost disputes, lost revenue, missed deadlines arising from factors outside our control (such as platform outages or revoked access), or any indirect or consequential damages. Our total liability for any claim relating to the service is limited to the fees you paid to Recoup in the three months preceding the claim.
9. Termination
You may stop using Recoup at any time by uninstalling it or disconnecting your platforms. We may suspend or terminate access if you breach these Terms. Fees already earned on won disputes remain payable.

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.
